Terms of Service
This is a translation for convenience. The binding version of this document is the Spanish one: the Spanish version. In case of discrepancy, the Spanish text prevails.
This page governs the subscription. The software licence is in the EULA, data handling in the Privacy Policy and, if your organisation uses the hosted catalogue, in the data processing agreement.
1. Scope and applicable documents
These Terms govern the purchase and use of Aseptic’s paid plans (the “Service”): professional use of the software and uncapped use of the AI surfaces — MCP server and copilot — plus the team features. The Free plan is governed by the EULA and needs no subscription.
Order of precedence, highest first: signed order form → these Terms → EULA → Privacy Policy and data processing agreement. On software use the EULA prevails; on the subscription, this page.

Aseptic is currently sold by a natural person. The owner may assign this contract, together with ownership of the product, to a company in which he is a shareholder and which continues to operate it, giving reasonable notice and without altering your terms (§13).
3. Accounts and access
3.1 Purchasing requires an account, authenticated through an external identity provider.
3.2 You are responsible for your credentials and for activity under your account. Tell us about any unauthorised use.
3.3 What is gated and what is not. The desktop application and the aseptic CLI
are complete on the Free plan. What the subscription unlocks is use of the MCP server and
the copilot beyond the free daily allowance; if the subscription lapses, the account
returns to that allowance and the rest of the product is unaffected.
Professional use is a contractual obligation, not a technical block: the software does not inspect your environment to work out where you work. We say so plainly because the absence of a barrier is not permission.

Free-allowance limits are published on the pricing page and may be adjusted; adjustments apply from publication and never reduce what you have already paid for.
5. Pricing, invoicing and payment
5.1 Who charges you. Subscriptions are sold through Paddle.com Market Ltd, acting as Merchant of Record: Paddle is the seller towards you, issues your invoice, processes the payment and settles the taxes in your country. Buying also means accepting Paddle’s terms as seller.
5.2 Model. Licence per named user. The seats you buy cap how many people may use the paid capabilities. A seat can be reassigned to another person; it cannot be shared concurrently. There are two modes, and which one applies is decided by who buys and pays:
- 5.2.a Individual (Pro plan). Bought and paid for by a natural person, in their own name and out of their own funds. It covers their professional use in any organisation, is non-transferable and follows the person across employers. It cannot be bought, paid for or reimbursed by an organisation for its employees or contractors: that case falls under 5.2.b. The organisation where the holder works acquires no right over the Service merely because the holder uses it at work.
- 5.2.b Organisational (Team plan). Bought by the organisation, which holds the licence and assigns seats to named users. Subject to the minimum seat count of the current offer.
5.3 Term and renewal. Annual billing with automatic renewal until you cancel. Prices may change for renewal periods with 30 days’ notice; if you do not accept the new price, cancel before it takes effect.
5.4 Cancellation and refunds. Cancel any time from your account, with no penalty and no minimum term, effective at the end of the current period. The 14-day withdrawal right and refund conditions are in the refund policy, which forms part of these Terms.
5.5 Non-payment. Entitles us to suspend access to paid capabilities, after notice and a reasonable cure period, and to terminate under §11.
6. Enterprise purchasing
For organisations that cannot or will not pay by card, from 10 seats the purchase runs on order form and invoice:
- Signed order form with seats, price, term and billing details.
- Bank transfer, 30 days from invoice date, unless agreed otherwise.
- Enterprise subscription agreement, signed alongside the order, prevailing over these Terms on whatever it expressly regulates.
- If the hosted catalogue is contracted, the data processing agreement applies as well.

7. Acceptable use
You may not, and may not let others: use paid capabilities without an active subscription or beyond the seats purchased; share credentials to dodge the seat limit; buy, fund or reimburse individual licences (§5.2.a) on behalf of an organisation, to dodge the mode in §5.2.b; resell, sublicense or lend the Service; circumvent or tamper with licence or quota mechanisms; or use the Service for unlawful purposes or in breach of third-party rights. The remaining restrictions are those of EULA §3.
8. Intellectual property
The software, the Service and the rights in them are and remain the owner’s or his licensors’. These Terms transfer no ownership.
Your configuration and your scenarios are yours. We acquire no rights over them, do not use them for our own purposes and do not train models on them.
9. Data
9.1 Handling of diagnostic and account data is in the Privacy Policy. Diagnostics are off until you turn them on.
9.2 Team features. When the Service stores configuration belonging to your organisation — Team plan with hosted catalogue — we act as data processor and the data processing agreement applies, accepted when that option is contracted. Scenario content is end-to-end encrypted with a key of yours: we cannot read it.
9.3 The own git repository catalogue option exists so that an organisation unwilling to sign a processing agreement gets the whole product without signing one.
10. Availability, beta and support
10.1 The software is in beta. There is no availability SLA unless expressly agreed in writing in an order form.
10.2 Support. Channel: info@aseptic.dev. Response within 5 working days on Free and Pro, and 2 working days on Team and enterprise contracts. It covers product use and defects; it does not include consultancy on the customer’s architecture.
10.3 Security. Vulnerabilities are reported and fixed under the security policy, with the support period of EULA §7.3.
10.4 The Service is provided “as is” and “as available”, with the warranty disclaimer and liability cap of the EULA, incorporated by reference. Nothing excludes liability that cannot be excluded by law, nor consumers’ mandatory rights.
11. Term and termination
11.1 These Terms apply while you use the Service or hold a subscription.
11.2 Either party may terminate for a breach not cured within 30 days of notice. We may suspend for non-payment (§5.5) or breach of §7.
11.3 On termination, access to paid capabilities ends and the account returns to the Free plan. With the hosted catalogue, §11 of the data processing agreement applies.
11.4 Clauses that by their nature must survive do survive: intellectual property, liability cap, confidentiality and governing law.
12. Changes
We may amend these Terms, giving 30 days’ notice of substantial changes by email or in the application. Continuing to use the Service afterwards means accepting them. If you do not accept, cancel before that date and we will refund the unused portion of the period you paid for.
13. Assignment
You may not assign these Terms without written authorisation. The owner may assign them, together with ownership of the product, to a company in which he is a shareholder and which continues to operate it, giving reasonable notice and without altering your rights or terms.
14. Consumers and complaints
If you contract as a consumer you keep every mandatory right your country grants, including the 14-day withdrawal right (§5.4).
To complain, write to info@aseptic.dev: we answer within 5 working days at most. You may also turn to your country’s consumer authorities.
15. Governing law
Spanish law. Without prejudice to consumers’ mandatory rights — they may sue and be sued in the courts of their own domicile — the parties submit to the courts of the owner’s domicile. For enterprise customers outside Spain, jurisdiction may be agreed in the order form.
